Vodafone and Three UK have officially completed their £16.5 billion union, creating a new entity named VodafoneThree. This consolidation positions the company as the UK's largest mobile network operator, serving over 27 million customers and surpassing competitors EE and O2 in market share.

Significant Investment in 5G Infrastructure

As part of the merger agreement, VodafoneThree has committed to investing £11 billion over the next decade to enhance the UK's digital infrastructure. This includes a £1.3 billion investment within the first year, focusing on accelerating the rollout of 5G services across the country.
The investment aims to provide 99% population coverage with advanced 5G networks, supporting the UK's ambitions to lead in digital connectivity.

Regulatory Approval and Consumer Protections

The UK's Competition and Markets Authority (CMA) approved the merger after an 18-month review, contingent upon specific commitments from both companies. These include maintaining existing mobile tariffs for at least three years and implementing a comprehensive network upgrade plan.
The CMA concluded that the merger would enhance competition in the long term and benefit millions of mobile service users.

Leadership and Future Outlook

The newly formed VodafoneThree will be led by Max Taylor as CEO and Darren Purkis as CFO. Vodafone holds a 51% stake in the joint venture, with CK Hutchison, Three UK's former owner, retaining 49%.
The merger is expected to generate annual cost and capital expenditure synergies of £700 million by the fifth year post-completion.
